1. Acceptance of Terms

By accessing, browsing, or using ImgShareHub ("Service"), operated by Cloudivex LLC ("Company," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these terms, you must immediately cease all use of our service.

ImgShareHub is a comprehensive image hosting and sharing platform operated by Cloudivex LLC that provides:

• Anonymous Image Uploads: Upload and share images without creating an account
• User Accounts: Create an account to manage your uploads and access advanced features
• Dashboard Management: Control your images, albums, set privacy options, and manage sharing settings
• Password Protection: Secure your images with custom passwords
• Image Editing Tools: Basic editing and annotation capabilities
• Album Creation: Organize images into shareable albums
• Sharing Features: Generate shareable links and embed codes

3. User Accounts

3.1 Account Creation

You may use ImgShareHub without creating an account for basic functionality. To access advanced features such as image management, albums, password protection, and extended storage, you must create a user account. You must provide accurate and complete information during registration.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Cloudivex LLC immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss arising from unauthorized use of your account.

3.3 Account Termination

You may delete your account at any time through your dashboard settings. Upon account deletion, all your uploaded images and personal data will be permanently removed within 30 days. Cloudivex LLC reserves the right to suspend or terminate accounts that violate these terms, engage in prohibited activities, or remain inactive for an extended period.

4. Content and Usage Rights

4.1 Your Content

You retain full ownership of all images and content you upload to ImgShareHub. By uploading content, you grant Cloudivex LLC a non-exclusive, worldwide, royalty-free license to store, process, display, and distribute your content solely for the purpose of providing and improving our service. This license terminates when you delete your content or account.

4.2 Content Restrictions

You agree not to upload, share, or distribute content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Infringes upon intellectual property rights, privacy rights, or other rights of third parties
• Contains malware, viruses, or other malicious code
• Depicts minors in inappropriate situations or violates child protection laws
• Contains explicit sexual content, pornography, nudity, or graphic violence
• Promotes hate speech, discrimination, or violence against any group or individual
• Violates any applicable local, state, national, or international laws or regulations
• Impersonates any person or entity or misrepresents your affiliation
• Contains personal information of others without their consent

Cloudivex LLC may impose limits on file size, storage capacity, and bandwidth usage. Current limits are displayed during the upload process and on your dashboard. These limits may be updated from time to time at our discretion.

5.3 Service Availability

While we strive to maintain high availability and uptime, Cloudivex LLC does not guarantee uninterrupted access to our service. We may perform scheduled maintenance with reasonable advance notice. We strongly recommend keeping backup copies of important images.

6. Privacy and Data Protection

Your privacy is important to Cloudivex LLC. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Password-protected images are encrypted and can only be accessed with the correct password. We do not sell your personal data to third parties.

7. Prohibited Activities

You agree not to:

• Attempt to gain unauthorized access to our systems, servers, or user accounts
• Use automated tools, bots, or scrapers to access or interact with our service without written permission
• Interfere with or disrupt the service, servers, or networks connected to the service
• Reverse engineer, decompile, or disassemble any part of the service
• Use the service for any commercial purpose without our prior written consent
• Violate any applicable laws or regulations in connection with your use of the service
• Create multiple accounts to circumvent service limitations or bans
• Use the service to distribute spam, phishing content, or unsolicited communications
• Attempt to bypass our content moderation systems

8. Content Moderation and Removal

Cloudivex LLC reserves the right to review, monitor, and remove any content that violates these terms or that we find objectionable, without prior notice or liability. We may also suspend or terminate accounts associated with prohibited content. Users can report inappropriate content through our reporting system.

Our platform employs AI-powered automated content moderation systems that continuously scan uploaded images for prohibited content, including adult material, illegal content, and other violations of our terms.

9. DMCA and Copyright Notices

Cloudivex LLC respects the intellectual property rights of others. If you believe that content hosted on ImgShareHub infringes your copyright, please submit a DMCA takedown notice to our designated agent at [email protected] with the following information:

• Identification of the copyrighted work claimed to be infringed
• Identification of the material to be removed with sufficient information to locate it
• Your contact information (name, address, email, phone number)
• A statement that you have a good faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information is accurate and you are the copyright owner or authorized agent
• Your physical or electronic signature

10. Intellectual Property

The ImgShareHub service, including its name, logo, design, functionality, and underlying technology, is the property of Cloudivex LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our service without our prior written permission.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CLOUDIVEX LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLOUDIVEX LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Cloudivex LLC and its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the service, your uploaded content, or your violation of these terms or any applicable law.

14. Changes to Terms

Cloudivex LLC may modify these Terms of Service at any time by posting the updated terms on our website with a revised "Last updated" date. We will notify users of material changes via email or through a prominent notice on the service. Your continued use of ImgShareHub after such changes constitutes your acceptance of the new terms. If you do not agree with the modified terms, you must stop using the service and delete your account.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in the State of Delaware.

16. Severability

If any provision of these Terms is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy and GDPR Policy, constitute the entire agreement between you and Cloudivex LLC regarding your use of ImgShareHub, superseding any prior agreements or communications.
